Company policy with respect to COVID-19

3/11/2020

The new coronavirus disease, named COVID-19, was declared a global health emergency by the World
Health Organization in January 2020. As the virus has the potential to spread extensively, it’s likely to
pose a significant challenge to many organisations. This document outlines the steps that adserve are
taking to reduce business impact both to adserve and to those organisations that we transact with.

Our priority remains the health of our staff and to ensure any business disruption is kept to an absolute
minimum. We recognise that for many customers, we provide mission-critical software on which their
business depends. Therefore, to this end;

• We have removed all dependencies on our office locations and being established as an agile
business from the outset, all members of staff are fully equipped to work from our offices in
Amersham, Central London or from their home locations.

• We are reducing the face-to-face meetings of key personnel and instead we will be meeting
more frequently, but for shorter durations, online.

• We are moving all our company meetings, which bring the company together each month and
replacing these with virtual meetings conducted online.

• We are reducing our overseas travel to serve only the most urgent of international meetings,
and this on an exceptional basis only. We are also reviewing the personal travel needs of staff in
the UK to ensure the use of public transport is minimised.

• Where possible, all customer services work which would normally be undertaken on a customer
site will be undertaken from adserve premises, respecting all obligations in regard to GDPR.

We do not anticipate that customers or suppliers will see any disruption in their engagement with
adserve and we look forward to providing full service and support during these difficult times.

adserve plc completes the acquisition of GES Ltd and Broadnet Ltd

7/1/2018

London - 1st July 2018

adserve plc announced today that is has completed the acquisition of two software services companies in the growing audio and media advertising sector.  These acquisitions, which were underwritten by bank finance and private investment, marks the first in a series of planned investments to capitalise on the growing market for linear and digital advertising and positions adserve plc as the UK leader in the audio ad-tech market.

Under these acquisitions, adserve plc will retain all employees, customers and obligations of GES Ltd and Broadnet Ltd, and will provide further investment to take the business forward into the digital audio sector which is the fastest-growing segment of the online global advertising market. All existing product lines from both the GES and Broadnet businesses will continue to be supported and enhanced, with additional resources available to increase the level of support and service provided to customers. Furthermore, adserve is committed to a significant broadening of the capabilities of these offerings to not only address the opportunities around digital audio and programmatic advertising, but also to provide customers with a 360-degree dashboard for monitoring all of their revenue generating channels and content.

"This is a very exciting time for audio advertising", says James Foley, CEO of adserve plc, "The market is seeing unprecedented levels of growth driven by changing consumer behaviour around music streaming, voice-activated services and podcasts.  It's for that reason that major audio advertisers are dramatically increasing their audio ad spend. The challenge that most broadcasters are facing is how to best monetise their brand and content across both broadcast and digital channels. With these acquisitions, and further investments we have planned, we aim to enable our UK and international customers to maximise their inventory and revenues across all types of traditional and digital channels."

"Whilst adserve plc now has the largest market share in UK audio advertising technology, the technology challenge and opportunity we are addressing is global in nature", says Piers Widdowson, Chief Product Officer of adserve plc. "To address this, we are working closely with our international customers and technology partners to deliver a scalable, secure and  flexible solution for the next generation of audio ad-tech that can leverage both traditional and digital channels. We believe that customers aren't viewing audio in isolation of other advertising revenue and need to see an integrated picture of advertising revenue across all linear and digital channels."

"From a market and customer perspective, these acquisitions make a lot of sense.  Both GES and Broadnet had established a significant share of the UK radio market, providing both groups and independent stations with comprehensive solutions for advertising planning and scheduling", says Jon Bareford, Chairman of GES Ltd.  "The challenge the major broadcasters face today is how best to leverage their brand and content for tomorrow's audience who are demanding access to, and engagement with, content where and when they choose. adserve plc is now very well-served to address this significant market opportunity, and their customers will be the ultimate beneficiary as they can monetise their content across both traditional and newer digital channels."
