General Terms

AdServe Ltd. provides this website (AdServe) and any information available on AdServe to you subject to the following terms and conditions ("Terms"). These Terms constitute a binding legal agreement between you and AdServe regarding your access and use of Adserve.com. By accessing or using AdServe, you accept these Terms and any modifications that may be made to these Terms.

You must be at least 18 years of age to access and use AdServe. By using AdServe, you represent that you are at least 18 years old.

AdServe reserves the right at any time to modify or discontinue our site, with or without notice. AdServe will not be liable to you or any third party for any modification, suspension, or discontinuation of our site.

  1. Limited License

    All Information and materials on AdServe are proprietary and copyrighted property of AdServe or its licensors. Subject to these Terms, Adserve.Ltd grants you a limited license to use AdsServe, only insomuch as your use is consistent with conducting business with AdServe. Any other use of the Site without our prior written consent is prohibited including any use of the Site or Information other than for its intended purpose.

  2. Confidentiality

    Your acknowledge that Adserve.com contains Confidential Information that belongs to AdServe or its licensors and you agree to protect such Confidential Information against any unauthorized use, copying, distribution, or disclosure. Notwithstanding the foregoing, you may use the Confidential Information in the course of conducting business with AdServe. You may not disclose any Confidential Information to any third party without our consent. Confidential Information means any nonpublic information that you have access to on the Site, including any Information, or any materials relating to Adserve’s products, services, technology, research, clients, employees, or finances.

  3. Account, Password and Security

    You will receive a User Name and Password to access AdServe. You are responsible for maintaining the confidentiality of your User Name and Password and are responsible for all activities that occur under your User Name or Password. If you believe that your account is no longer secure (e.g. in the event of a loss, theft, or unauthorized disclosure or use of your Password), you must promptly change your Password and inform us of the violation at . You, not AdServe will be liable for any loss or damage arising from your failure to comply with this section.

  4. Unlawful or Prohibited Use

    You cannot use AdServe for any purpose that is unlawful or prohibited by these Terms. You may not use AdServe in any manner that could damage or impair any our server or interfere with any other party’s use of AdServe. You may not attempt to gain unauthorized access to AdServe by any means.

  5. Advertiser Agreement

    The Advertiser is solely responsible for the content of its Ads.

    Advertiser warrants and represents that: (a) it has all right, title, URL and interest in and to the Ads; (b) the use of the Ads by AdServe as contemplated and authorized hereunder will not infringe on any third party's copyright, patent, trademark, trade secret or other proprietary rights or right of publicity or privacy; (c) all Ads are in compliance with all laws, regulations and ordinances ("Laws") of the United States and any other jurisdiction in which Advertiser conducts its business; and (d) all submitted pages by Advertisers cannot contain any other additional windows including popups, popunders, pop-behinds, or exit popup windows.

  6. User Conduct

    The User's conduct is subject to Internet regulations, policies, and procedures. The User will not use the service to send chain letters, junk mail, spamming, or distribution lists to any User, Account Manager or other at any time. The User agrees not to transmit any unlawful, harassing, abusive, threatening, harmful or objectionable material of any kind or nature. The User further agrees not to transmit any materials that violates any applicable law or regulation in the country in which it is incorporated. Crimes committed with or against our computers, servers or communication systems will result in an immediate ban and we will cooperate with the appropriate authorities to prosecute you to the fullest extent of the law. Examples include computer intrusions (malicious hacking), unauthorized modification of data, denial-of-service (DoS) attacks or malicious software (viruses, worms, Trojans). User shall comply with all applicable US federal and state laws including, but not limited to, the CAN-SPAM Act of 2003, as amended ("CAN-SPAM") and any and all Federal Trade Commission implementing regulations.

  7. Governing Law

    The User agrees that these Terms and Conditions and this website and all AdServe services (i) shall be governed by and construed in accordance with the internal substantive laws of the State of New York, USA, without giving effect to its principles of conflicts of law; and (ii) constitute the complete and entire expression of the agreement between the parties, and shall supersede any and all other agreements, whether written or oral, between the parties concerning the subject matter hereof. Publisher submits to jurisdiction and venue in the state and federal courts located in the State of New York.

  8. Modifications

    AdServe reserves the right to amend at any time any policies governing the Site, including these Terms, by posting a change notice or new terms on AdServe. The amended terms will be effective immediately after they are posted AdServe. If any amended term is unacceptable to you, your only recourse is to cease using AdServe. Your continued use of AdServe following Adserve's posting of a change notice or new terms will constitute binding acceptance of the change.

  9. Termination

    AdServe reserves the right, without notice and in its sole discretion, to terminate your license to use AdServe, and to block or prevent future access and use of AdServe.

  10. Assignment

    You may not assign these Terms without the prior written consent of AdServe. These Terms will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns.

Payments Terms

You are subject to agree to these Payments Terms when you make payments through AdServe.

  1. When you confirm a transaction on AdServe, you agree to be bound by and pay for that transaction.

  2. Don't commit to a transaction unless you are ready to pay, because all sales are final.

  3. When you provide a payment source to us, you confirm that you are permitted to use that payment source. You also authorize us to collect and store it, along with other related transaction information.

  4. When you make a payment, you authorize us (and our designated payment processor) to charge the full amount to the payment source you designate for the transaction.

  5. We may make any inquiries that we consider necessary, either directly or through third parties, concerning your identity and creditworthiness.

  6. We may cancel any transaction if we believe the transaction violates these Payments Terms or the Statement of Rights and Responsibilities, or we believe doing so may prevent financial loss.

  7. We may place a delay on a payment for a period of time, limit payment sources for a transaction, and limit your ability to make a payment or deactivate your account if we believe doing so may prevent financial loss.

  8. We may contact your payment source issuer, law enforcement, or impacted third parties (including other users) and share details of any payments you are associated with if we believe doing so may prevent financial loss or a violation of law.

  9. When you purchase advertising on AdServe, you agree to pay all amounts specified in the order, along with any applicable taxes.

  10. You are responsible for maintaining the security of your advertising account, and you understand that you will be charged for any orders placed on or through your advertising account.

  11. Deposits by Advertisers:

    1. Pre-paid

      All Advertisers are required to pay one-hundred percent (100%) of the cost of the campaign before its activation. The Advertiser can deposit a minimum of US$100 to her AdServe account by PayPal or wire transfer. If the Advertiser deposits money to her AdServe account via PayPal or wire transfer, her AdServe account will not reflect the deposited amount until the payment has been confirmed by AdServe Limited and the fund has been credited to her AdServe account. It may take 3 to 10 business days for PayPal to process the transaction. The Advertiser will bear the PayPal transaction fee which can be changed without any notification. It may take up to 15 business days for the banking wire transfer processing. The Advertiser will bear all banking charges by the banks of both parties, i.e. only net amount received by AdServe Ltd. is credited to the Advertiser's AdServe account. Please contact your local bank or us for the bank charges. The account balance of the Advertiser is deducted from time to time based on Advertiser's advertising activities on AdServe. The information including impressions and costs reflecting on the advertiser's AdServe account may be delayed and it is subjected to any changes until the figures have been finalized by the AdServe system.

    2. Refunds:

      NO REFUNDS. One hundred percent (100%) of all pre-paid funds deposited into your Advertiser Account are NON-REFUNDABLE.

    3. Minimum Deposit

      Advertisers shall be required to deposit a minimum of US$100 for each payment transfer. AdServe will not guarantee the traffic volume maximum capacity would be set if advertisers’ account balance is under USD$55.

    4. Advertiser Responsibilities

      It is the Advertiser's responsibility to set bidding /payout rates and keep track of account balances. AdServe is not responsible neither for payment disputes between Affiliates and Advertisers nor for payments due to Affiliates from Advertisers. Affiliates solely assume the risk that an Advertiser may not pay amounts owed to an Affiliate. Advertisers solely assume the risk that the payments made to an Affiliate based on illegitimate or improper traffic. Information regarding payout rates is displayed on the AdServe web site. The maintenance of the Advertiser's programs and all terms and conflicts relating to the content of any advertisements and/or sales are the sole responsibility of the Advertiser.
